PRIVATE EQUITY | JOINT VENTURE

We have secured direct relationships with private venture capital groups and private investment banking groups.  This private financing is used for the following guidelines:

-$5 MM USD min loan amount

-We have access to investor with funds up to $500 M USD for single project

-Joint Venture Investors with payback schedule up to seven years on certain projects

We will consider:

  • Large Resort and Development projects. (currently no acquisition)
  • Domestic and International Projects
  • Industries:
  • Resort Development National and International
  • Marketing, Publishing and Media
  • Energy: Oil and Gas. Clean Energy
  • Software, IT Service, Internet Technologies
  • Emerging Technology, Medical, Pharmacy, and Healthcare

We will only work direct with project principals. Projects to be considered must include:

  • Executive Summary
  • Detailed Business Plan
  • Three to Seven Year Pro-forma Financials
  • Additional documentation as required per project and investor
    Current Sales Revenue or strong sells of $15M annually first year.
  • At least 20%+ Pre Tax-Gross Profit Margin in Year 1-3
  • Must Have Established Asset Value/Size for company
  • Additional documentation as required per project and investor
    Current Sales Revenue or strong sells of min of $15M+ annually by 2nd or 3rd year.

No huge upfront fees all points paid at closing. After our prelim screening and review of project we will bring you face to face with the decision makers and "check writers". No other brokers no middle men. All projects to be considered must meet face to face with our investors.  The due diligence and underwriting process on each project involves many reviews by our investors and its third party analysts.  Third party due diligence must be paid by borrowers. Usually projects that are not funded are because of inaccurate or undisclosed factual information.  A Term Sheet will be issued upon completion of favorable due diligence and underwriting requirements, and will outline the exact terms and conditions of the capital investment.  These are primary equity projects not debt. Time frame can take 60-120 days.

 

Our investors have the operational knowledge, personal networks, and industry expertise necessary to support our portfolio companies at each stage of the partnership.

Depending on the size of the private equity offering and the nature of the investors, more or less documentation may be required. Typical private equity financing documents include:

  • Term Sheet-Contains the essential terms of the investment and the business terms of the transaction, such as type of security, valuation/price, liquidation preference, conversion rights, registration rights, preemptive rights/rights of first refusal, voting rights, seats on the board of directors, and dividends.
  • Engagement Agreement. Investment Bank or investor will legally work on your project to provide determined funding amount.
  • Business Plan or PPM-Describes the business, products/services, and risks and provides detailed financial information.
  • Board of Director Resolutions or Consents-Authorize transaction, reserves shares, etc.
  • Stock Purchase Agreement-Sets out the terms, representations, and warranties of the parties, and conditions of closing. Establishes the factual basis for exemption under federal securities laws.
  • Amended and Restated Articles of Incorporation- Sets out the rights, preferences, and privileges of preferred stock sold to investors.
  • Investors' Rights Agreement-Defines the rights of investors such as registration rights and rights of first refusal.
  • Warrant-Contractual right given to purchaser to buy a specified number of shares at a specified price. Sometimes offered as a kicker to lower the effective price of the securities purchased.
  • Subscription Agreement-Sets out the basics of the equity purchased and investor representations
